Agreement to these terms
These Terms of Service ("Terms") govern your access to and use of the website at skilledlegacy.com (the "Site") and any related services, content, or communications offered by Skilled Legacy ("Skilled Legacy," "we," "us," or "our"). By using the Site, you agree to be bound by these Terms. If you don't agree, please don't use the Site.
Who we are and what we do
Skilled Legacy is an M&A advisory firm based in Cincinnati, Ohio. We work with owners of skilled-trades and home-service businesses (HVAC, plumbing, electrical, roofing, pest control, landscaping, and similar) to facilitate introductions to private equity firms, family offices, and other qualified investors interested in acquiring or investing in those businesses.
We operate as a business intermediary. We are not a registered broker-dealer, investment adviser, law firm, accounting firm, or tax adviser. Where transaction structures fall within the SEC's M&A Broker Exemption or comparable state-law exemptions, we operate accordingly.
Not legal, financial, tax, or investment advice
The valuation estimator
Our online valuation estimator produces a rough range based on simplified inputs and general market data. It is not an appraisal, not a formal valuation, and not an offer to buy. Actual transaction values depend on many factors the estimator does not capture, including but not limited to: the quality of the business's books and records, customer concentration, employee retention risk, geography, market timing, asset condition, recurring revenue mix, working capital, and the specific buyers competing for the business. Do not rely on the estimator output for any decision.
Fee structure
Skilled Legacy generally does not charge fees to sellers. Our compensation typically comes from the buy side of completed transactions, subject to the specific terms of any written engagement letter signed between us and a buyer or seller. Any statements on the Site about "zero fees" or "no cost to you" refer to our standard arrangement and do not constitute a binding offer. The specific fee arrangement that applies to any engagement will be set out in a separate written agreement.
Confidentiality
We treat the existence and content of every conversation with a prospective seller as confidential. We do not share information about you or your business with any third party, including potential buyers, without your explicit written permission. Where we facilitate introductions to qualified buyers, those introductions occur only under signed non-disclosure agreements.
This confidentiality commitment is mutual. You agree to keep confidential any non-public information we share with you during our discussions, including identities of buyers, deal structures, and proprietary frameworks.
No guarantees
We do not guarantee that any transaction will close, that you will receive any specific price for your business, that any specific buyer will be interested, or that any specific timeline will be met. Past results we may share are not predictive of future outcomes. The market for skilled-trades businesses changes over time and is influenced by factors outside our control.
Use of the Site
You agree not to:
- Use the Site for any unlawful purpose
- Submit false information through the contact form
- Attempt to access, scan, or interfere with the Site's infrastructure, security features, or other users' data
- Use automated tools (bots, scrapers, crawlers) to access the Site, except for legitimate search engine indexing
- Reproduce, distribute, or create derivative works from Site content without our written permission
Intellectual property
The Site, including its text, design, logos, valuation methodology, layout, and code, is owned by Skilled Legacy or its licensors and is protected by copyright, trademark, and other intellectual property laws. You may view and print pages from the Site for your personal, non-commercial use. Any other use requires our prior written consent.
Third-party services
The Site uses third-party services including Netlify (hosting), Mailgun (email delivery), and Google reCAPTCHA (form protection). Your use of those services through the Site is also subject to their own terms and privacy policies. We are not responsible for the practices of third-party services.
Disclaimer of warranties
The Site is provided "as is" and "as available", without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or that the Site will be uninterrupted or error-free. We do not warrant that the valuation estimator, blog content, or any other information on the Site is accurate, complete, or current.
Limitation of liability
To the maximum extent permitted by law, Skilled Legacy and its officers, employees, contractors, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, arising out of or related to your use of the Site or any reliance on its content. In no event will our total aggregate liability to you for any claim related to the Site exceed one hundred U.S. dollars ($100).
Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.
Indemnification
You agree to defend, indemnify, and hold harmless Skilled Legacy from and against any claims, damages, losses, liabilities, or expenses (including reasonable attorneys' fees) arising out of or related to your violation of these Terms or your misuse of the Site.
Governing law and disputes
These Terms are governed by the laws of the State of Ohio, without regard to its conflict-of-laws principles. Any dispute arising out of or related to these Terms or your use of the Site will be brought exclusively in the state or federal courts located in Hamilton County, Ohio, and you consent to the personal jurisdiction of those courts.
Changes to these Terms
We may update these Terms from time to time. When we do, we'll update the "Last updated" date at the top. Your continued use of the Site after changes are posted constitutes acceptance of the updated Terms.
Severability
If any part of these Terms is found to be unenforceable, the remainder will continue to apply.
